This Employment Agreement (this “Agreement”) is dated as of November 20, 2018 (the “Execution Date”), and is entered into by and between Martin B. Winges (“Executive”) and Hilltop Holdings Inc., a Maryland corporation (“HTH” or the “Company”), on behalf of itself and all of its subsidiaries (collectively “Employer”). As an inducement to render services to HTH’s wholly owned, indirect subsidiary, its regional broker-dealer, Hilltop Securities, Inc., Executive and Employer agree as follows:
