THIS AGREEMENT is entered into as of the 1st day of October, 2013 (the “Effective Date”) by and among Pacific Life Insurance Company (“Pacific Life”), a life insurance company organized under the laws of the State of California and Pacific Life & Annuity Company (“Pacific Life & Annuity”), a life insurance company organized under the laws of the State of Arizona, (hereinafter Pacific Life and Pacific Life & Annuity, separately and collectively, shall be called the (“Insurance Company”) (on behalf of itself and certain of its separate accounts); Pacific Select Distributors, Inc. (the “Distributor”), a corporation organized under the laws of the State of California; American Funds Distributors, Inc. (“AFD”), a corporation organized under the laws of the State of California; and Capital Research and Management Company (“CRMC”), a corporation organized under the laws of the State of Delaware.

Pacific Life Insurance Company (the “Company”), on its behalf and on behalf of certain segregated asset accounts (“Accounts”) of the Company, the Variable Insurance Products Fund, Variable Insurance Products Fund II, Variable Insurance Products Fund III, Variable Insurance Products Fund V (collectively referred to as the “Fund”), and Fidelity Distributors Corporation (the “Underwriter”), have previously entered into a Participation Agreement dated February 4, 2005 (the “Agreement”), as amended. The parties now desire to further amend the Agreement by this amendment (the “Amendment”).

The parties now desire to further amend the Agreement by this amendment (the “Amendment”).
