THIS DEPOSIT AGREEMENT, dated November 21, 2019, among American Equity Investment Life Holding Company, an Iowa corporation (the “Corporation”), Computershare Inc., a Delaware corporation (“Computershare”), and its wholly-owned subsidiary, Computershare Trust Company, N.A., a federally chartered national association (the “Trust Company”), jointly as Depositary (as defined below), Computershare, as Registrar (as defined below) and Transfer Agent (as defined below), and the Holders from time to time of the Receipts (as defined below).
