This PURCHASE AND SALE AGREEMENT (this “Agreement”), dated as of December 6, 2019 (the “Effective Date”) is made and entered into by and between GIP III Zephyr Carlsbad Holdings, LLC, a Delaware limited liability company (“Seller”), and Clearway Energy Operating LLC, a Delaware limited liability company (“Purchaser”). Seller and Purchaser are referred to, collectively, as the “Parties” and each, individually, as a “Party.” Capitalized terms used herein shall have the meanings set forth in Section 1.01.
