The undersigned understands that SVB Leerink LLC, as representative of the Underwriters (as defined below) (the “Representative”), proposes to enter into an Underwriting Agreement (the “Underwriting Agreement”) with Insmed Incorporated, a Virginia corporation (the “Company”), providing for the public offering (the “Public Offering”) by the several Underwriters listed on Schedule I to the Underwriting Agreement (the “Underwriters”), of shares of common stock, $0.01 par value per share, of the Company (the “Common Stock”).
