This Agreement and Plan of Reorganization (“Agreement”) is made as February 21, 2020, by and between Voya Equity Trust, a Massachusetts business trust (“VET”), on behalf of its series, the Voya Real Estate Fund (the “Acquired Fund”), and MainStay Funds Trust, a Delaware statutory trust (“MainStay Funds”), on behalf of its series, the MainStay CBRE Real Estate Fund (the “Acquiring Fund” and, together with the Acquired Fund, the “Funds”). New York Life Investment Management LLC, a limited liability company organized under the laws of the State of Delaware (“New York Life Investments”), joins this Agreement solely for purposes of paragraphs 4.4, 5.11, and 8.2; Voya Investments, LLC, a limited liability company organized under the laws of the State of Arizona (“VIL”), joins this Agreement solely for purposes of paragraphs 4.3 and 8.2; and CBRE Clarion Securities LLC, a limited liability company organized under the laws of the State of Delaware (“CBRE”), joins this Agreement solely for purp
