THIS AMENDMENT effective the 1st day of May 2020 (the “Amendment”) is made to the Amended and Restated Fund Management Agreement (the “Agreement”) dated October 8, 2015, as amended by that certain Amendment No. 1 dated November 1, 2018, by and among Massachusetts Financial Services Company, a Delaware Corporation doing business as MFS Investment Management (“Subadviser”), Pacific Life Fund Advisors LLC, a Delaware limited liability company (“Investment Adviser”), and Pacific Funds Series Trust, a Delaware statutory trust (“Trust”). Capitalized terms not defined herein shall have the meaning given to them in the Agreement.

This 2020 Distribution Agreement, by and between Pacific Funds Series Trust, a Delaware statutory trust (the “Trust”), and Pacific Select Distributors, LLC, a Delaware limited liability company, as distributor of shares of the Trust (referred to herein as the “Distributor”), is effective January 1, 2020 (the “Agreement”) and terminates and replaces the Amended and Restated Distribution Agreement dated January 1, 2007, as amended.

THIS AMENDMENT to the Sub-Administration and Accounting Services Agreement, dated as of January 1, 2020 (the “Amendment”) is being entered into by and among Pacific Funds Series Trust, a Delaware statutory trust (the “Trust”), Pacific Life Insurance Company, a Nebraska corporation (“Pacific Life”), and The Bank of New York Mellon, a bank organized under the laws of the state of New York (“BNYM”).

This Administration Agreement (the “Agreement”) by and between Pacific Funds Series Trust, (the “Trust”), a Delaware statutory trust, and Pacific Life Insurance Company (the “Administrator”), an insurance company domiciled under the laws of the State of Nebraska, is effective January 1, 2020. Upon the effectiveness of this Agreement, the Administration and Shareholder Services Agreement between the Trust and the Administrator originally made on June 13, 2001, as amended and restated, and the Support Services Agreement originally made on May 1, 2007 by and among the Trust, the Administrator and Pacific Life Funds Advisors LLC (“PLFA”), a Delaware limited liability company, as amended and restated, are terminated.
