THIS AGREEMENT, between Crossmark DISTRIBUTORS, INC. (the "Distributor"), a Delaware corporation having its principal place of business in Houston, Texas, and STEWARD FUNDS, INC. (the "Company"), on behalf of its series management investment companies (each, a “Fund”), originally effective April 17, 2000, is hereby further amended and restated to read as follows:

Crossmark Distributors, Inc. (the Distributor) is the principal distributor for the series portfolios (individually, a Fund) of Steward Funds, Inc. (the Steward Funds), listed on Appendix A, attached hereto, which may be amended from time to time.
