This Settlement Agreement (including Exhibits A, B and C, the “Agreement”) is made and entered into this 29th day of September, 2020 (the “Effective Date”), by and between, on the one hand, COLLEGIUM PHARMACEUTICAL, INC., a corporation organized under the laws of the Commonwealth of Virginia, having its principal place of business at 100 Technology Center Drive, Suite 300, Stoughton, MA 02072 (“Collegium”), and on the other hand, TEVA PHARMACEUTICALS USA, INC., a corporation organized under the laws of the state of Delaware, having its principal place of business at 400 Interpace Parkway, #3, Parsippany, NJ 07054 (“Teva”) (collectively Collegium and Teva may be referred to as the “Parties,” or each separately, a “Party”).
