THIS AGREEMENT, made and entered into this 1st day of September, 2020 by and between GOLDMAN SACHS VARIABLE INSURANCE TRUST, a statutory trust formed under the laws of Delaware (the “Trust”), GOLDMAN SACHS & CO. LLC, a New York limited partnership (the “Distributor”), PACIFIC LIFE INSURANCE COMPANY, a Nebraska life insurance company and PACIFIC LIFE & ANNUITY COMPANY, an Arizona life insurance company, (hereinafter collectively referred to as the “Company”), on its own behalf and on behalf of each separate account of the Company identified herein.

This letter sets forth the agreement (the “Agreement”) between Pacific Life Insurance Company, Pacific Life & Annuity Company (collectively referred to herein as “you” or the “Company”) and the undersigned (“we” or “Goldman, Sachs Asset Management, L.P.”, or “GSAM”) concerning certain administrative services to be provided by you, with respect to the Goldman Sachs Variable Insurance Trust (the “Trust”).
