This VOTING AGREEMENT (this “Agreement”) is dated as of November 3, 2020, by and between the undersigned holder (“Shareholder”) of common stock, par value $0.01 per share (the “Company Common Stock”) of [Juneau], Inc. a Delaware corporation (the “Company”) and Juneau Parent Co, Inc., a Delaware corporation (“Parent”). All terms used herein and not defined herein shall have the meanings assigned thereto in the Merger Agreement (as defined below).
