Ur-Energy Inc., a corporation continued under the Canada Business Corporations Act (the “Company”), proposes to issue and sell to the several underwriters named in Schedule A (the “Underwriters”) (i) an aggregate of 14,722,200 of its common shares (the “Firm Shares”), no par value per share (the “Common Shares”), and (ii) 14,722,200 warrants of the Company to purchase an aggregate of 7,361,100 Common Shares (the “Firm Warrants”). In addition, the Company has granted to the Underwriters an option to purchase (i) up to an additional 2,208,330 Common Shares pursuant to such option (the “Option Shares” and together with the Firm Shares, the “Shares”) and/or (ii) 2,208,330 additional warrants to purchase up to an additional 1,104,165 Common Shares (the “Option Warrants” and together with the Firm Warrants, the “Warrants”).
