This EXTENSION AGREEMENT AND FIRST AMENDMENT TO SECOND AMENDED AND RESTATED CREDIT AGREEMENT (this “Agreement”) is made and entered into as of April 23, 2021 (the “First Amendment Effective Date”), by and among EQT CORPORATION, a Pennsylvania corporation (“Borrower”), each Lender under the Existing Credit Agreement (as defined below) executing this Agreement as an “Exiting Lender” (collectively, the “Exiting Lenders”), each other Lender party hereto (including for the avoidance of doubt, each New Lender (as defined below), collectively, the “Consenting Lenders” and individually, a “Consenting Lender”), and PNC BANK, NATIONAL ASSOCIATION, as administrative agent for the Lenders (in such capacity, the “Administrative Agent”).
