Reference is hereby made to (a) that certain Amended and Restated Agreement of Limited Partnership of OMH Holdings, L.P., a Delaware limited partnership (the “Partnership”), dated as of June 25, 2018 (the “LPA”), (b) that certain Letter Agreement (the “Letter Agreement”) by and among the Partnership, Apollo Uniform GP, LLC, in its capacity as the general partner of the Partnership (the “General Partner”), Apollo VIII Uniform Investor, L.P. (the “Apollo Fund VIII Partner”), Uniform InvestCo LP (the “Värde Partner”), Uniform Co-Invest, L.P.
