This LOCK-UP AND LEAK-OUT AGREEMENT (the “Agreement”) is made as of ______,[1] 2021 (the “Effective Date”) by and between Telkonet, Inc., a Utah corporation, (the “Company”), and the person or entity listed on the signature page hereof as a shareholder (the “Shareholder”). Capitalized terms used but not otherwise defined herein, and the term “control,” shall have the meanings set forth in the Purchase Agreement (as defined below).
