This EARNOUT ESCROW AGREEMENT (this “Agreement”) is made and entered into as of September 29, 2021, by and among Benson Hill, Inc., a Delaware corporation (f/k/a Star Peak Corp II) (“PubCo”), Shareholder Representative Services LLC, a Colorado limited liability company, solely in its capacity as the representative of the Earn Out Recipients (together with any successor appointed in accordance with the Merger Agreement, the “Holder Representative”, and together with PubCo, sometimes referred to individually as a “Party” or collectively as the “Parties”), and Continental Stock Transfer & Trust Company (the “Earnout Escrow Agent”). Capitalized terms used but not defined herein shall have the respective meanings ascribed to them in the Merger Agreement (as defined herein).
