THE REGISTERED HOLDER OF THIS PURCHASE OPTION BY ITS ACCEPTANCE HEREOF, AGREES THAT THIS PURCHASE OPTION SHALL NOT BE SOLD, TRANSFERRED, ASSIGNED, PLEDGED OR HYPOTHECATED, OR BE THE SUBJECT OF ANY HEDGING, SHORT SALE, DERIVATIVE, PUT OR CALL TRANSACTION THAT WOULD RESULT IN THE EFFECTIVE ECONOMIC DISPOSITION OF THE SECURITIES FOR A PERIOD OF ONE HUNDRED EIGHTY (180) DAYS IMMEDIATELY FOLLOWING THE CLOSING DATE, AS HEREAFTER DEFINED. The undersigned, AeroClean Technologies, Inc., which was converted from a Florida limited liability company into a limited liability company under the laws of the State of Delaware, under the name AeroClean Technologies, LLC, in September 2020, and was converted into a Delaware corporation on [ ], 2021 (the “Company”), hereby confirms its agreement (this “Agreement”) with The Benchmark Company, LLC and HCFP/Capital Markets LLC (hereinafter the “Representatives”) and with the other underwriters named on Schedule 1 hereto for which the Representatives are acting as representatives (the Representatives and such other underwriters being collectively called the “Underwriters” or, individually, an “Underwriter”) as follows:
