This Membership Interest Purchase Agreement (this “Agreement”), dated as of December 2, 2021, for the purchase and sale of all of the outstanding membership interests of Jake Marshall, LLC, a Tennessee limited liability company (“JMLLC”) and Coating Solutions, LLC, a Tennessee limited liability company (“CSLLC” and, together with JMLLC, the “Companies” and each a “Company”), is entered into by and among the Companies, Richard L. Pollard (“Rick”) and Matthew S.
