This CREDIT AGREEMENT (this “Agreement”) is entered into as of January 7, 2022, among THERMO FISHER SCIENTIFIC INC., a Delaware corporation (the “Company”), certain Subsidiaries of the Company from time to time party hereto pursuant to Section 2.14 (each a “Designated Borrower” and, together with the Company, the “Borrowers”), each lender from time to time party hereto (collectively, the “Lenders” and individually, a “Lender”), BANK OF AMERICA, N.A., as Administrative Agent, and BANK OF AMERICA, N.A., BARCLAYS BANK PLC, CITI (as defined below), JPMORGAN CHASE BANK, N.A., and MIZUHO BANK, LTD., and certain other Lenders acting in such capacity from time to time, as L/C Issuers and BANK OF AMERICA, N.A., BANK OF AMERICA, N.A., LONDON BRANCH, BARCLAYS BANK PLC, JPMORGAN CHASE BANK, N.A. and JPMORGAN CHASE BANK, N.A., LONDON BRANCH, as Swing Line Lenders.
