This LIMITED LIABILITY COMPANY AGREEMENT of 1.21 Gigawatts, LLC, a Delaware limited liability company (the “Company”), dated effective as of January 6, 2022 (the “Effective Date”), is adopted, executed and agreed to, by and among the Company and the Members listed on Exhibit A.
