This letter agreement is entered into between Harris Associates L.P. (the “Adviser”), and Harris Associates Investment Trust (the “Trust”) on behalf of each of Oakmark Fund, Oakmark Select Fund, Oakmark Equity and Income Fund, Oakmark Global Fund, Oakmark Global Select Fund, Oakmark International Fund, Oakmark International Small Cap Fund and Oakmark Bond Fund, each a series of the Trust (each, a “Fund”). In the interest of limiting the expenses of each of the following classes of series of the Trust referred to below (each, a “Fund Class”), we agree as follows:

THIS AMENDMENT (“Amendment”) is entered into on October 1, 2021 (the “Effective Date”) and amends the TRANSFER AGENCY AND SERVICE AGREEMENT dated as of October 1, 2005, as amended, by and between EACH OF THE OAKMARK ENTITIES LISTED ON APPENDIX A (each a “Portfolio” and collectively the “Fund”) and DST ASSET MANAGER SOLUTIONS, INC. (f/k/a Boston Financial Data Services, Inc.) (“DST” or “Transfer Agent”), (the “Agreement”).

THIS AGREEMENT, is made this 18th of January, 2022, by and among Fidelity Rutland Square Trust II (the “Fidelity Trust”), a statutory trust organized under the State of Delaware, on behalf of itself and its current and future series as identified on Schedule A, severally and not jointly (each, an “Acquiring Fund” and collectively, the “Acquiring Funds”), and each trust identified on Schedule B (each, an “Underlying Trust”), on behalf of itself and its respective series identified on Schedule B, severally and not jointly (each, an “Acquired Fund” and collectively the “Acquired Funds” and together with the Acquiring Funds, the “Funds”), and shall become effective on January 19, 2022 (the “Effective Date”).
