This License and Distribution Agreement (this “Agreement”), dated as of January 24th, 2021 (“Effective Date”), is by and between Quoin Pharmaceuticals, Ltd., a Delaware corporation located at 42127 Pleasant Forest Court, Ashburn, VA 20148 (“Quoin”) and E-LOG LOGISTICA LTDA., a company incorporated under the laws of Brazil located at Rua Serra de São Domingos, n° 352, Sala 01, Vila Carmosina, CEP 08.290-370 (“Licensee”). Quoin and Licensee are sometimes referred to herein individually as a “Party,” and together as the “Parties.”
