THIS REGISTRATION RIGHTS AGREEMENT (this “Agreement”), dated as of March 8, 2022, is made and entered into by and among Lilium N.V., a Netherlands public limited liability company (the “Company”) and Azul Linhas Aéreas Brasileiras S.A. (“Azul”). Azul and any Person or entity who hereafter becomes a party to this Agreement pursuant to ‎Section 5.2(c) and ‎Section 5.11 of this Agreement, shall be collectively referred to as the “Holders” and each, a “Holder”.
