This AMENDED AND RESTATED INVESTOR RIGHTS AGREEMENT, dated as of April 21, 2022 (this “Agreement”), is by and between Outlook Therapeutics, Inc., a Delaware corporation (the “Company”), and GMS Ventures and Investments, a company incorporated under the laws of Cayman Islands (the “Shareholder”). The Shareholder and the Company are referred to hereinafter each as a “Party” and collectively as the “Parties.”
