THIS AGREEMENT AND PLAN OF MERGER (this “Agreement”) is made and entered into as of May 4, 2022, by and among Seacoast Banking Corporation of Florida, a Florida corporation (“SBC”), Seacoast National Bank, a national banking association and wholly-owned subsidiary of SBC (“SNB” and collectively with SBC, “Seacoast”), Drummond Banking Company, a Florida corporation (“Drummond”) and Drummond Community Bank, a Florida state-chartered bank and wholly-owned subsidiary of Drummond (the “Bank” and collectively with Drummond, the “Company”).
