This First Amendment to Loan, Guaranty and Security Agreement (this “Amendment”) is made as of this 1st day of July, 2022 by and among TERAWULF INC., a Delaware corporation (“Borrower”), the Guarantors (as defined in the Loan Agreement (as defined below)) party hereto, the Lenders (as defined in the Loan Agreement (as defined below)) party hereto, and Wilmington Trust, National Association, a national banking association, in its capacity as administrative agent and collateral agent for the Lenders (in such capacities, and together with its successors and assigns in such capacities “Agent”).

THIS WARRANT AGREEMENT, dated as of July 1, 2022 (this “Warrant”), is by and between (a) TeraWulf Inc., a Delaware corporation (the “Corporation”), and (b) each Person listed on Schedule I (each a “Holder” and, collectively, the “Holders”). The Corporation and the Holders are sometimes referred to herein collectively as the “Parties” or individually as a “Party.”

This REGISTRATION RIGHTS AGREEMENT (this “Agreement”) is entered into as of July 1, 2022, by and among TeraWulf Inc., a Delaware corporation (the “Company”), and each Person listed the signature pages hereto (each a “WULF Investor” and, collectively, together with any transferee of Warrant Shares (as defined below) that enters into a joinder to this Agreement pursuant to Section 4.01, the “WULF Investors”). Capitalized terms used but not defined elsewhere herein are defined in Exhibit A.
