THIS NINTH AMENDMENT TO CREDIT AGREEMENT, dated as of June 30, 2022 (this “Agreement”), by and among the undersigned Lenders and Issuing Banks, ENVIVA INC., a Delaware corporation (f/k/a Enviva Partners, LP) (the “Administrative Borrower”), ENVIVA, LP, a Delaware limited partnership (the “Subsidiary Borrower” and, together with the Administrative Borrower, the “Borrowers”), each of the other Guarantors, and BARCLAYS BANK PLC (“Barclays”), as Administrative Agent, Collateral Agent and Swing Line Lender.

Citigroup Global Markets Inc., on behalf of itself and as representative (the “Representative”) of Barclays Capital Inc., J.P. Morgan Securities LLC, Goldman Sachs & Co. LLC, RBC Capital Markets, LLC, Truist Securities, Inc. and Loop Capital Markets, LLC (collectively with the Representative, the “Underwriters”), hereby offers to enter into this Bond Purchase Agreement (this “Purchase Agreement”) with The Industrial Development Authority of Sumter County, a public corporation organized under the laws of the State of Alabama (together with its successors and assigns, the “Issuer”), pursuant to the provisions of the Constitution of the State of Alabama (the “State”) and under Chapter 92A of Title 11 of the Code of Alabama (1975) (as amended from time to time, the “Act”), and approved by Enviva Inc., a corporation duly organized and validly existing under and pursuant to the laws of the State of Delaware (the “Company”), whereby the Underwriters will purchase and the Issuer will sell the
