LLC, RBC Capital Markets, LLC, Truist Securities, Inc. and Loop Capital Markets, LLC (collectively with the Representative, the “Underwriters”), hereby offers to enter into this Bond Purchase Agreement (this “Purchase Agreement”) with The Industrial Development Authority of Sumter County, a public corporation organized under the laws of the State of Alabama (together with its successors and assigns, the “Issuer”), pursuant to the provisions of the Constitution of the State of Alabama (the “State”) and under Chapter 92A of Title 11 of the Code of Alabama (1975) (as amended from time to time, the “Act”), and approved by Enviva Inc., a corporation duly organized and validly existing under and pursuant to the laws of the State of Delaware (the “Company”), whereby the Underwriters will purchase and the Issuer will sell the
