This CREDIT AGREEMENT, dated as of July 28, 2022, is entered into among BJ’s WHOLESALE CLUB, INC., a Delaware corporation (the “Borrower”), BJ’S WHOLESALE CLUB HOLDINGS, INC., a Delaware corporation (“Holdings”), each other Restricted Subsidiary (as defined herein) of Holdings party hereto as a Borrower, each Lender (as defined herein) from time to time party hereto and BANK OF AMERICA, N.A., as administrative agent (in such capacity, including any successor thereto, the “Administrative Agent”) and as collateral agent and security trustee (in such capacity, including any successor thereto, the “Collateral Agent”) under the Loan Documents.
