(the “Company” or “we”), effective as of the date set forth above (the “Effective Date”), to confirm the terms and conditions relating to your service as the interim Chief Executive Officer of the Company beginning as of the Effective Date. For the avoidance of doubt, the terms of your existing Letter Agreement dated August 5, 2021 shall continue in effect unless specifically modified by this Agreement. Subject to Section 6 hereof, it is expected that you will serve as the interim CEO of the Company until a permanent Chief Executive Officer of the Company (the “Successor CEO”) is appointed (the “Interim CEO Service Period”). The Company will use its reasonable efforts to appoint a Successor CEO expeditiously following the Effective Date.
