This Purchase and Sale Agreement (this “Agreement”), is dated as of February 14, 2023 (the “Execution Date”), by and between Driftwood Energy Operating, LLC, a Delaware limited liability company (“Seller”), and Vital Energy, Inc., a Delaware corporation (“Purchaser”). Seller, on the one hand, and Purchaser, on the other hand, are referred to herein individually, as a “Party” and collectively, as the “Parties”.
