THIS AMENDED AND RESTATED LIMITED LIABILITY COMPANY AGREEMENT of POPULAR U.S. GOVERNMENT MONEY MARKET FUND, LLC (the “Fund”) is dated and effective as of April 5, 2023 by and among the Organizational Member, Popular Asset Management LLC, as Adviser to the Fund, the Directors identified on Schedule I hereto, and each person hereinafter reflected on the books of the Fund as a Shareholder.
