This Order will fully replace the Amended and Restated Sub-Transfer Agency Agreement dated as of February 24, 2010, as amended, by and between Citi Fund Services Ohio, Inc., a predecessor of FIS, and Boston Trust and Investment Management Company, a predecessor of Client (“Sub-Transfer Agency Agreement”). From and after the Order Effective Date, the Sub-Transfer Agency Agreement will be of no further force or effect.

THIS AMENDMENT made as of February 18, 2022 ("Amendment") to that certain Services Agreement dated as of June 30, 2016 ("Agreement"), by and between Boston Trust Walden Funds, a Massachusetts business trust ("Client") and Citi Fund Services Ohio, Inc. ("Service Provider" and, with the Client, referred to herein individually as "Party" and collectively as "Parties"). All capitalized terms used but not defined herein shall have the meaning given to them in the Agreement.
