This Third Amendment to Secured Debenture Purchase Agreement, dated as of May 1, 2023 (this “Amendment”), is by and among IDEANOMICS, INC., a company incorporated under the laws of the State of Nevada (the “Company”), each of the guarantors listed on Annex I attached hereto, (collectively, the “Guarantors”; the Guarantors, together with the Company, the “Credit Parties”), and YA II PN, LTD., a Cayman Islands exempt corporation (the “Buyer”).
