THIS COMMON STOCK PURCHASE WARRANT (the “Warrant”) certifies that, for value received, Armistice Capital Master Fund Ltd. or its assigns (the “Holder”) is entitled, upon the terms and subject to the limitations on exercise and the conditions hereinafter set forth, at any time on or after the date hereof (the “Initial Exercise Date”) and on or prior to 5:00 p.m. (New York City time) on May 5, 2028 (the “Termination Date”) but not thereafter, to subscribe for and purchase from Molekule Group, Inc., a Delaware corporation (the “Company”), up to 2,850,000 shares (as subject to adjustment hereunder, the “Warrant Shares”) of the Company’s common stock, par value $0.01 per share, (the “Common Stock”). The purchase price of one share of Common Stock under this Warrant shall be equal to the Exercise Price, as defined in Section 2(b).

THIS COMMON STOCK PURCHASE WARRANT (the “Warrant”) certifies that, for value received, Armistice Capital Master Fund Ltd. or its assigns (the “Holder”) is entitled, upon the terms and subject to the limitations on exercise and the conditions hereinafter set forth, at any time twenty (20) days after an information statement pursuant to Schedule 14C (the “Information Statement”) is mailed to the Company’s stockholders (the “Initial Exercise Date”) and on or prior to 5:00 p.m. (New York City time) on the eight-month anniversary of the Initial Exercise Date, provided that, if such date is not a Trading Day, then the Termination Date shall be the immediately following Trading Day (the “Termination Date”) but not thereafter, to subscribe for and purchase from Molekule Group, Inc., a Delaware corporation (the “Company”), up to 3,125,000 shares (as subject to adjustment hereunder, the “Warrant Shares”) of the Company’s common stock, par value $0.01 per share (“Common Stock”).
