This Second Amended and Restated Common Stock Purchase Agreement (this “Agreement”) is dated as of June 27, 2023, by and between Arcus Biosciences, Inc., a Delaware corporation (the “Company”), and Gilead Sciences, Inc., a Delaware corporation (“Gilead”). This Agreement amends and restates in its entirety the Amended and Restated Common Stock Purchase Agreement previously entered into between the Company and Gilead dated as of January 31, 2021, which amended the Common Stock Purchase Agreement previously entered into between the Company and Gilead dated as of May 27, 2020 (the “Original Agreement”).
