This CUSTODY AGREEMENT (this “Agreement”) is dated as of August 4, 2023, and is by and between NEW MOUNTAIN GUARDIAN III BDC, L.L.C. (and any successor or permitted assign, the “Company”), a limited liability company organized under the laws of Delaware and WESTERN ALLIANCE TRUST COMPANY, N.A.
