This Restricted Share Unit Award Agreement, including any addendum to the Agreement for the Grantee’s country (the “Addendum”) (together the “Award Agreement”), evidences a conditional award of restricted share units (“RSUs”) by MYT Netherlands Parent B.V., a private company with limited liability (besloten vennootschap met beperkte aansprakelijkheid) incorporated and existing under the laws of the Netherlands, and any successor entity thereto (the “Company”) under the MYT Netherlands Parent B.V. 2023 Omnibus Incentive Compensation Plan (the “Plan”). The obligations of the Company to effect the Target Award (as defined below) under this Award Agreement are subject to the condition precedent (opschortende voorwaarde) that at the annual general meeting of shareholders of the Company that will be held in the fall of 2023, the general meeting of the Company (the “General Meeting”) approves the adoption of the Plan.
