AMENDMENT NO. 5, dated as of December 7, 2023 (this “Amendment”), to the Amended and Restated Credit Agreement, dated as of March 18, 1999, as amended and restated on April 26, 2019, as amended by Amendment No. 1 on October 24, 2019, as amended by Amendment No. 2 on May 26, 2022, as amended by Amendment No. 3 on February 10, 2023 and as further amended by Amendment No. 4 on March 23, 2023 (the “Existing Credit Agreement”, the Existing Credit Agreement, as amended by this Amendment, the “Credit Agreement”), by and among CHARTER COMMUNICATIONS OPERATING, LLC, a Delaware limited liability company (“Borrower”), CCO HOLDINGS, LLC, a Delaware limited liability company (“Holdings”), the LENDERS and ISSUING LENDERS from time to time party thereto and BANK OF AMERICA, N.A., as administrative agent (the “Administrative Agent”).
