This Stock Purchase Agreement (this “Agreement”) is made and entered into as of January 5, 2024, by and among (i) OrthoPediatrics Corp., a Delaware corporation (“Purchaser”), (ii) Boston Brace International, Inc., a Massachusetts corporation (the “Company”), (iii) the Boston Brace International, Inc.
