Acadia Realty Trust, a Maryland real estate investment trust (the “Company”), and Acadia Realty Limited Partnership, a Delaware limited partnership (the “Partnership”), confirm their respective agreement to issue and sell to J.P. Morgan Securities LLC and BofA Securities, Inc. (the “Underwriters”), an aggregate of 6,000,000 common shares of beneficial interest, par value $0.001 per share (“Common Shares”), of the Company (the “Underwritten Shares”) and, at the option of the Underwriters, up to an additional 900,000 Common Shares (the “Option Shares”). The Underwritten Shares and the Option Shares are herein referred to as the “Shares”.
