This MEMBERSHIP INTEREST PURCHASE AGREEMENT (this “Agreement”) is made as of December 15, 2023, by and among HPI Holdco LLC, a Delaware limited liability company (the “Company”), HPI Holdings LLC, a Delaware limited liability company (“Seller”), Lotus HPI Buyer, Inc., a Delaware corporation (“Buyer”), (the foregoing parties, collectively, the “Parties” and each a “Party”).
