This Cooperation Agreement (this “Agreement”) is made and entered into as of March 4, 2024 by and between VENTAS, INC., a Delaware corporation (the “Company”), on one hand, and LAND & BUILDINGS CAPITAL GROWTH FUND, LP, a Delaware limited partnership (“L&B Capital”), and its Affiliates, including but not limited to LAND & BUILDINGS INVESTMENT MANAGEMENT, LLC, a Delaware limited liability company (“L&B Management”), L&B OPPORTUNITY FUND, LLC, a Delaware limited liability company (“L&B Opportunity”), L&B GP LP, a Delaware limited partnership (“L&B GP LP”), L&B GP LLC, a Delaware limited liability company (“L&B GP LLC”), and JONATHAN LITT (together with L&B Capital, L&B Management, L&B Opportunity, L&B GP LP, L&B GP LLC, and any other Affiliate of Mr. Litt or such entities, the “L&B Parties”), on the other hand, with respect to the matters set forth below.
