Protective Life Insurance Company, (on behalf of itself and each segregated asset account of the Company set forth in Schedule B, as may be amended from time to time (the “Separate Accounts”)), Investment Distributors, Inc., AllianceBernstein L.P., and AllianceBernstein Investments, Inc., hereby amend the Participation Agreement (“Agreement”) dated December 16th, 2020, as amended, by doing the following:

Protective Life Insurance Company (the “Company”), Rydex Variable Trust (the “Fund”), a Delaware statutory trust, and Guggenheim Funds Distributors, LLC (the “Underwriter”), a Delaware limited liability company, entered into a certain participation agreement dated November 1, 2013 (the “Participation Agreement”). This Amendment (the “Amendment”) to the Participation Agreement is entered into as of March 22, 2022, by and among the Company, on its own behalf and on behalf of each separate account of the Company as set forth in the Participation Agreement, as may be amended from time to time (individually and collectively the “Accounts”), the Fund and the Underwriter (collectively, the “Parties”).
