THIS AGREEMENT, made as of May 1, 2023, by and between LINCOLN VARIABLE INSURANCE PRODUCTS TRUST, a Delaware statutory trust (“Trust”), on its behalf and on behalf of its investment series set forth in Exhibit A (each, a “Fund”), LINCOLN FINANCIAL DISTRIBUTORS, INC., a Connecticut corporation (“Distributor”), LINCOLN FINANCIAL INVESTMENTS CORPORATION, a Tennessee corporation (“Adviser”), and PROTECTIVE LIFE AND ANNUITY INSURANCE COMPANY (“Company”), an Alabama corporation.

THIS AMENDMENT, by and between LINCOLN VARIABLE INSURANCE PRODUCTS TRUST, a Delaware statutory trust (“Trust”), on its behalf and on behalf of its investment series set forth in Exhibit A (each, a “Fund”), LINCOLN FINANCIAL DISTRIBUTORS, INC., a Connecticut corporation (“Distributor”), LINCOLN FINANCIAL INVESTMENTS CORPORATION, a Tennessee corporation (“Adviser”), and PROTECTIVE LIFE AND ANNUITY INSURANCE COMPANY (“Company”), a Alabama corporation, is effective as of April 29, 2024 (the “Effective Date”).

Protective Life and Annuity Insurance Company (the “Company”), Victory Variable Insurance Funds (the “Fund”), Victory Capital Management Inc. (the “Adviser”), and Victory Capital Services, Inc. (the “Underwriter”), entered into a certain participation agreement dated December 1, 2020 (the “Participation Agreement”). This Amendment (the “Amendment”) to the Participation Agreement is entered into as of April 26, 2022, by and among the Company, on its own behalf and on behalf of each separate account of the Company as set forth in the Participation Agreement, as may be amended from time to time (individually and collectively the “Accounts”), the Fund and the Underwriter (collectively, the “Parties”).

This Agreement is entered into as of the 1st day of September, 2021, among Protective Life and Annuity Insurance Company, a life insurance company organized under the laws of the State of Alabama (“Insurance Company”), on behalf of itself and on behalf of the separate accounts set forth on Exhibit A, each Participating Fund (as defined below) and, with respect to Article X of this Agreement, the Adviser (as defined below).

This Agreement is entered into between Protective Life and Annuity Insurance Company (the "Insurer"), on its behalf and on behalf of certain segregated asset accounts of the Insurer which may be listed on Exhibit A to this Agreement as updated from time to time by the Insurer (the "Separate Accounts"); Federated Hermes Insurance Series (the "Investment Company”); and Federated Securities Corp. (the "Distributor").

(the “Distributor”) entered into a certain participation agreement dated November 9, 2020 (the “Participation Agreement”). This Amendment (the “Amendment”) to the Participation Agreement is entered into as of March 22, 2022, by and among the Company, on its own behalf and on behalf of each separate account of the Company as set forth in the Participation Agreement, as may be amended from time to time (individually and collectively the “Separate Accounts”), the Trust and the Distributor (collectively, the “Parties”).

(formerly, Amundi Pioneer Distributor, Inc. (the "Underwriter"), a Massachusetts corporation, and Amundi Asset Management US, Inc. (formerly, Amundi Pioneer Asset Management, Inc. (the "Adviser"), a Delaware corporation, entered into a certain participation agreement dated November 1, 2020 (the "Participation Agreement"). This Amendment (the "Amendment") to the Participation Agreement is entered into as of March 30, 2022, by and among the Company, on its own behalf and on behalf of each separate account of the Company as set forth in the Participation Agreement, as may be amended from time to time (individually and collectively the "Accounts"), the Fund, the Underwriter, and the Adviser (collectively, the "Parties").

This Amendment (the “Amendment”) to the Participation Agreement is entered into as of March 15, 2022, by and among the Company, on its own behalf and on behalf of each separate account of the Company as set forth in the Participation Agreement, as may be amended from time to time (individually and collectively the “Accounts”), the Fund and the Underwriter (collectively, the “Parties”).
