The Company, Elavon Financial Services DAC and the Trustee will execute and deliver a Paying Agency Agreement to be dated as of the Closing Date (the “Paying Agency Agreement”), to appoint Elavon Financial Services DAC, as paying agent (the “Paying Agent”) and the Trustee as transfer agent and registrar with respect to the Notes.
