SECOND AMENDMENT TO ABL CREDIT AGREEMENT (this “Second Amendment”), dated as of June 7, 2024, is among UPBOUND GROUP, INC. (f/k/a Rent-A-Center, Inc.) (the “Borrower”), the other Loan Parties party hereto, JPMORGAN CHASE BANK, N.A., as administrative agent for the Lenders (in such capacity, the “Administrative Agent”) and each of the Lenders party hereto.
