THIS AGREEMENT AND PLAN OF REORGANIZATION (the "Agreement") is made as of this 21st day of June 2024, by abrdn Funds, a Delaware statutory trust (the "abrdn Trust") on behalf of its series, the abrdn Emerging Markets Sustainable Leaders Fund (the "Acquired Fund") and the abrdn Emerging Markets ex-China Fund (the "Acquiring Fund") (the Acquired Fund and the Acquiring Fund, collectively, the "Funds," and each, a "Fund"), and, solely for purposes of paragraphs 4.2, 5.6 and 8.2 hereof, abrdn Inc., a corporation organized under the laws of the State of Delaware ("abrdn").
