PRELIMINARY STATEMENT. The Borrower, the lenders parties thereto and Citibank, as administrative agent, are parties to the Amended and Restated Credit Agreement dated as of December 2, 2021 (as amended by Amendment No. 1, dated as of January 31, 2023, and Amendment No. 2, dated as of February 13, 2024, the “Existing Credit Agreement”). Subject to the satisfaction of the conditions set forth in Section 3.01, the Borrower and the parties hereto desire to amend and restate the Existing Credit Agreement as herein set forth.
