This Fund Participation Agreement ("Agreement"), dated as of the 30th day of April, 2004 is made by and between NORTHSTAR Life Insurance Company ("Company") on behalf of the Company separate accounts identified on Exhibit A which is attached hereto and may be amended from time to time ("Variable Accounts"), WADDELL & REED, INC. ("W&R") which serves as the distributor to the W&R TARGET FUNDS, INC. (the "Funds") listed on Exhibit B and W&R Target Funds, Inc.
