THIS AGREEMENT, originally made as of the 15th day of November, 2000, by and between Waddell & Reed Advisors Value Fund, Inc. and Waddell & Reed Investment Management Company ("WRIMCO"), and amended and restated as of May 21, 2003 by and between Waddell & Reed Advisors Select Funds, Inc. (f/k/a Waddell & Reed Advisors Value Fund, Inc.) ("Corporation") and WRIMCO, and further amended and restated effective November 9, 2005, has been approved, annually, by the Board of Directors, including separate approval by the Disinterested Directors, as prescribed by Section 15(c) of the Investment Company Act of 1940, as amended ("1940 Act").
